Terms of Service

1. Acceptance, Structure, and Priority
These Terms of Service (“Terms”) govern all access to and use of JPC Group's online trading portal, freight forwarding services, timber trading services, and related logistics and data services (the Services).
By accessing, registering for, or using the Services (including through any electronic acceptance, click-through, or continued use), you agree to be legally bound by these Terms and the Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.
If you access the Services on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity. All acts undertaken through your account are deemed authorised by that entity.
These Terms prevail over any customer terms, purchase orders, or other documents unless expressly agreed in writing by JPC Group. In the event of any inconsistency, the following order of priority applies:
- These Terms of Service
- Privacy Policy
- Any written agreement expressly executed by JPC Group
2. Nature of Services
The Services are provided strictly on a business-to-business basis and are not consumer services.
JPC Group provides freight forwarding, logistics coordination, trading, data, and platform services as an intermediary and agent, not as a carrier, warehouse operator, or insurer, unless expressly agreed in writing.
All Services are provided on an “as available” and “as is” basis. JPC Group may modify, suspend, restrict, or discontinue any part of the Services at any time, with or without notice, and without liability.
3. Accounts, Access, and Authority
You are responsible for:
- Ensuring all users accessing the Services under your account are authorised
- All actions taken through your account, whether authorised or not
- Maintaining the confidentiality of sign-in credentials
- Promptly revoking access or updating sign-in credentials when any user is no longer authorised to act on your behalf, including upon termination of employment or engagement
- Immediately notifying JPC Group of any suspected unauthorised access
JPC Group may monitor usage, suspend access, restrict features, or terminate accounts at its discretion, including for security, compliance, risk, or commercial reasons.
4. Customer Obligations and Warranties
You warrant and represent that all information you provide (including shipment, customs, valuation, dangerous goods, and third-party data) is complete, accurate, lawful, and current.
You must:
- Comply with all applicable laws, sanctions, customs, and trade controls
- Properly declare cargo, including weight, dimensions, value, and classification
- Ensure all dangerous goods are correctly declared, packaged, labelled, and documented
- Obtain all licences, permits, and approvals required for shipment
- Not use the Services for unlawful, sanctioned, or prohibited activities
You acknowledge that JPC Group relies entirely on information supplied by you and is not responsible for verifying its accuracy.
5. Dangerous Goods
You accept full responsibility and liability for any dangerous goods, whether declared or undeclared.
JPC Group may, at its discretion:
- Refuse, stop, re-route, re-pack, destroy, or dispose of cargo
- Recover all costs, fines, penalties, clean-up expenses, and third-party claims arising from dangerous goods incidents
- Immediately suspend or terminate Services
You indemnify JPC Group against all losses arising from misdeclaration or non-compliance.
6. Bookings, Quotes, and Rates
All quotes are indicative only and do not constitute binding offers. Rates, schedules, transit times, and availability are subject to change.
JPC Group is not liable for:
- Rate changes, carrier errors, or system-generated inaccuracies
- Reliance placed on quotes or estimated delivery times
- Carrier rollovers, delays, omissions, or schedule changes
A booking is confirmed only upon written confirmation issued by JPC Group.
7. Payments, Security, and Lien
You must pay all invoices in full in accordance with agreed terms, without set-off or deduction.
JPC Group may:
- Charge interest on overdue amounts
- Suspend Services for non-payment
- Recover all collection, enforcement, and legal costs
- Exercise a general and particular lien over any goods, documents, or proceeds in its possession until all amounts owed are paid
- Apply payments at its discretion
8. Liability, Disclaimers, and Insurance
To the maximum extent permitted by law:
- JPC Group excludes all warranties, representations, and guarantees not expressly stated
- JPC Group is not liable for delays, losses, or failures caused by carriers, ports, authorities, or third parties
- JPC Group is not responsible for customs decisions, inspections, seizures, or biosecurity actions
Any liability of JPC Group (if not otherwise excluded) is strictly limited to the lesser of:
- The amount recoverable under applicable international conventions; or
- The fees paid by you to JPC Group for the relevant Services in the preceding 12 months
JPC Group is not liable for indirect, consequential, economic, or loss-of-profit damages.
You are solely responsible for obtaining cargo insurance. JPC Group arranges insurance only as agent and accepts no insurer liability.
9. Indemnity
You indemnify and hold harmless JPC Group, its officers, employees, and agents from all claims, losses, liabilities, fines, penalties, damages, and expenses arising from:
- Breach of these Terms
- Inaccurate or incomplete information
- Dangerous goods
- Customs, regulatory, or sanctions issues
- Acts or omissions of carriers or third parties engaged on your behalf
- Use of the Services
10. Intellectual Property and Data
All intellectual property in the Services, platform, workflows, analytics, derived data, and outputs is owned by JPC Group.
You receive a limited, revocable, non-transferable licence to use the Services during the term only.
Data handling is governed by the Privacy Policy, which prevails in respect of personal and commercial data.
11. Confidentiality
JPC Group may disclose confidential information to affiliates, advisers, insurers, financiers, regulators, and service providers as required.
Confidentiality obligations survive termination.
12. Document Sharing and Portal Features
You assume all risk associated with document sharing, access permissions, and link distribution. JPC Group has no liability for unauthorised access resulting from your actions.
13. Termination and Suspension
JPC Group may suspend or terminate access immediately for any reason, including risk, compliance, or commercial considerations.
Termination does not affect accrued rights, payment obligations, indemnities, or data retention rights.
14. Force Majeure
JPC Group is not liable for delays or failures caused by events beyond its reasonable control, including carrier disruption and government actions.
15. Dispute Resolution and Jurisdiction
These Terms, and any dispute, claim, or proceeding arising out of or in connection with them, are governed by the laws of Victoria, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of Victoria, Australia, and waives any objection to proceedings being brought in those courts.
16. Assignment
JPC Group may assign or novate these Terms without consent. You may not assign without JPC Group's prior written approval.
17. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement and supersede all prior arrangements.
18. Changes
JPC Group may amend these Terms at any time. Changes take effect upon publication. Continued use constitutes acceptance.
